Practitioner Listing Terms

These Practitioner Listing Terms (the “Terms”) are an agreement between Walker Capital Management LLC, d/b/a Priority One (“Priority One,” “we,” “us”) and the individual or business that applies to be listed (“Practitioner,” “you”). By submitting an application or maintaining a listing, you agree to these Terms, our Terms of Service and our Privacy Policy.
1. What Priority One is, and is not
1.1 Priority One provides software, including a public directory, profile pages and a contact request tool, that lets practitioners describe and advertise their own services.
1.2 Priority One is a technology company. It does not provide medical care, nursing care, dietetic services, coaching or any other health service. It does not employ, supervise, direct or control Practitioners, and does not participate in any clinical or professional decision.
1.3 No employment, partnership, joint venture, agency or referral relationship exists between Priority One and you. You are an independent business. You may not state or imply that you are employed by, part of, or endorsed by Priority One.
1.4 Your clients are your clients. Any relationship between you and a person who contacts you through the platform (a “Client”) is solely between you and that Client.
2. Eligibility
- You must be at least 18, legally able to enter contracts, and operating lawfully in each state where you offer services.
- Any license, certification or registration you list must be active, unrestricted unless you disclose the restriction, and held in your own name.
- You must not be excluded from any federal health care program or listed on the HHS Office of Inspector General exclusion list.
- Priority One reviews applications manually and may approve, decline, or remove any listing at its discretion.
3. Fees
3.1 Free first month. Every approved Practitioner receives their first month of access at no charge, starting on the date of approval. No payment method is required to apply or to be listed during this month.
3.2 Subscription after the first month. Continued access costs a flat monthly software subscription: founding clinicians (the first 10 licensed clinicians approved) $99; other licensed clinicians $199, e-prescribing included once available; coaches (no clinical services listed) $50. A founding clinician keeps the $99 price for as long as their subscription stays active without interruption; if it is canceled or lapses, any later subscription is billed at the then-current price. We will email you at least seven days before your first charge. You will not be charged unless you add a payment method; if you do not, your listing is unpublished at the end of the free month. Prices for non-founding Practitioners may change with at least thirty days’ notice.
3.3 Flat fee only. The subscription is a fixed fee for software. It does not vary with the number of Clients, contact requests, visits, sales, lab orders or revenue you receive.
3.4 No fee splitting or commissions. Priority One will never take a percentage of your fees or earnings, and never pays or receives anything for referrals. Priority One will not pay you, and you will not pay Priority One, for any lab order, product purchase or service purchase made by a Client.
3.5 Payments between you and Clients. Clients pay you directly, outside the platform. Priority One does not process, hold or guarantee those payments.
4. Licensure, scope of practice and compliance
4.1 You are solely responsible for all services you provide, including their quality, safety, legality and documentation, and for your compliance with every law, regulation and licensing board rule that applies to you, in every state where you or your Client is located.
4.2 For each service you list, you must identify the states where you are lawfully allowed to provide it. You must provide clinical services, meaning any service that requires a professional license, only to Clients physically located in a state where you hold an active license that allows it, and only within your scope of practice there.
4.3 If you provide coaching or other services that do not require a license, you must not diagnose, treat or give advice that requires a license, and you must describe your services in a way that does not suggest otherwise.
4.4 Nurse practitioners and physician assistants. For each state in which you list clinical services, you must state whether you are authorized to practice independently in that state. If you are not, you must identify your collaborating or supervising physician in that state (name, credentials and National Provider Identifier) and maintain any written agreement the state requires. You must update us within ten days if that arrangement ends or changes.
4.5 If you provide services remotely, you are responsible for following each state’s telehealth rules, including rules on establishing a relationship, informed consent, identity verification, and any limits on what may be provided remotely.
4.6 Controlled substances. You may not advertise any service that consists of, or is primarily marketed as, providing controlled substances (including testosterone) through the platform.
4.7 Licensed clinicians must maintain professional liability insurance appropriate to their services in every state where they practice, and must provide proof on request.
4.8 You represent that all information you give us is true and complete. You must update your listing within ten days if any license, certification, restriction, supervision arrangement or insurance changes, lapses or is disciplined.
4.9 No verification by Priority One. Priority One does not verify licenses, certifications, supervision arrangements or insurance, and relies on your representations. Our acceptance of your listing is not a determination that you are qualified or compliant.
5. Contact requests
- When a person submits a contact request on your profile, we send you their name, contact details, state, selected service and message by email.
- You will use that information only to respond to that person about the services they asked about. You will not sell it, share it, add it to marketing lists without consent, or use it for any other purpose.
- You will respond promptly and professionally. If a service is not available in the person's state, you will say so and not provide it.
- Contact requests are not a medical record and are not a secure channel for health information. Ask people to share health details only through your own secure systems, which you are responsible for.
- You will not use the platform to contact people who did not contact you.
6. Your listing content
6.1 You are responsible for everything in your profile (“Listing Content”). It must follow the Profile Rules below, which are part of these Terms, and must be truthful, not misleading, and supported by evidence where it makes a health claim.
6.2 You grant Priority One a non-exclusive, royalty-free, worldwide license to host, display, format and promote your Listing Content, including your name and photo, on the platform and in Priority One marketing about the directory, for as long as you are listed and for a reasonable period after to remove it.
6.3 Priority One may edit Listing Content for formatting, remove content that breaks these Terms, and decide how listings are ordered and displayed. Search placement is not guaranteed.
7. Reviews
- If Priority One offers reviews, only people who contacted you through the platform may leave one.
- You may not write, buy or offer anything of value for reviews, review yourself, or pressure anyone to change or remove a review.
- You may respond to reviews professionally, without disclosing any Client's health information.
8. Prohibited conduct
- Providing or advertising any service you are not legally allowed to provide in the Client's state.
- Guaranteeing results, cures, weight loss amounts, or that any medication will be provided.
- Advertising compounded drugs as equivalent to, or the same as, an FDA-approved drug.
- Offering or paying anything of value for referrals, including to Priority One.
- Using the platform to collect information for purposes other than responding to the person who contacted you.
- Misrepresenting your identity, credentials, training, experience or affiliations.
- Harassing, discriminating against or misleading any person.
- Scraping, copying, reverse engineering or interfering with the platform.
9. Privacy and data
9.1 During the directory phase, Priority One does not store medical records for you and does not act as your business associate under HIPAA. Do not ask Clients to send health information through the platform.
9.2 You are responsible for your own privacy and security obligations, including any HIPAA or state health privacy law that applies to your practice.
9.3 Priority One handles personal information as described in its Privacy Policy, and may keep records of contact requests (date, service, state) to operate and improve the platform and to show you your own activity.
10. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, PRIORITY ONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Priority One does not promise any number of profile views, contact requests or Clients.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRIORITY ONE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, ARISING FROM THESE TERMS OR THE PLATFORM. PRIORITY ONE’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID PRIORITY ONE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED DOLLARS.
12. Indemnification
You will defend, indemnify and hold harmless Priority One and its owners, officers, employees and contractors from any claim, loss, liability, penalty or expense (including reasonable attorneys’ fees) arising from: (a) services you provide or advertise; (b) your Listing Content; (c) your breach of these Terms; (d) your violation of any law, regulation or licensing board rule; or (e) any dispute between you and a Client.
13. Suspension and termination
You may unpublish your listing or close your account at any time. Priority One may suspend or remove your listing immediately, with or without notice, if we believe you have broken these Terms, provided false information, lost or had restrictions placed on a license, received a credible complaint, or created legal or safety risk. Sections 1, 3.4, 4, 6.2 and 9 through 14 survive termination.
14. General
We may update these Terms with at least thirty days’ notice of material changes by email; continuing to be listed after the change takes effect means you accept it. These Terms are governed by the laws of the State of Mississippi, without regard to conflict-of-law rules. These Terms, the Profile Rules, the Terms of Service and the Privacy Policy are the entire agreement between you and Priority One about your listing. You may not transfer these Terms without our written consent. If any provision is unenforceable, the rest remains in effect. Notices go to the email on your account and to support@priorityone.health.
Onboarding attestation
Every practitioner confirms the following when applying, and the answers to the per-state questions are saved with the application:
- The information I've provided about my licenses, certifications, states and any collaborating or supervising physician is true, complete and current, and I will update it within 10 days of any change.
- I will provide each service only in states where I am legally allowed to, and only within my scope of practice under that state's laws and licensing board rules.
- Priority One is a software platform only. It is not involved in, and has no responsibility for, the care, advice or services I provide to any person.
- I alone am responsible and liable for making sure my practice complies with all federal and state laws, state licensing board rules, telehealth rules and prescribing rules that apply to me.
- Priority One does not verify my credentials, and its approval of my listing does not mean it has confirmed my qualifications or compliance.
- Priority One never takes a percentage of my fees and never pays or receives anything for lab orders. My only cost is a flat monthly software subscription after my free first month.
- I have read and agree to the Practitioner Listing Terms and Profile Rules.
Profile Rules
Every profile is reviewed against these rules before it goes live and again after any edit to the name, credentials, services, states or bio.
Name and photo
- Use your real, legal or professional name. Credentials after the name must match what you listed.
- Photo: a real, recent headshot of you alone, face clearly visible. No logos, text, filters that change your appearance, group photos, AI-generated images, or before-and-after photos.
- A business name may appear under your name, not in place of it.
Credentials and titles
- Only use titles you are legally allowed to use in the states you list. "Dr." requires a doctoral degree, and clinical doctors must also say which degree (MD, DO, DNP, PhD).
- Do not call yourself a "nutritionist," "dietitian" or "therapist" in states where those titles are protected unless you hold that license.
- Coaches must not use words that suggest a clinical license, such as "provider," "clinician" or "prescriber."
Bio
- 50 to 600 words about you and your practice.
- No phone numbers, emails or links in the bio. Use the website field.
- No mention of other directories, discount codes or competitors.
Services
- Choose each service from the Priority One list, or suggest a new one for review.
- Each service must be tied to the credential that allows it, with the states where you offer it. Clinical services can only be tied to a licensed credential.
- Descriptions must say what the Client gets: length, format, frequency, and what's included.
- Prices must be real and complete: starting price and billing period. If medications, labs or other costs are extra, say so.
- Monthly or concierge plans must list what's included (for example, "up to 2 visits per month") and state that medications are billed separately by the pharmacy.
- Concierge "medications commonly used" lists may include only FDA-approved products, written by generic name; no peptides or compounded-only products.
Claims that are not allowed
- Guarantees: "guaranteed," "lose 30 pounds," "cure," "reverse diabetes," "get your medication."
- Presenting compounded drugs as the same as brand drugs, or naming brand drugs for a compounded product.
- Anything implying Priority One endorses, employs or has vetted you.
- "Board certified" or "certified" unless you hold that certification.
- Testimonials, star ratings or client results copied from other sites.
- Fear or pressure tactics.
Pricing and payment
- No price may depend on the Client buying labs, supplements or products through you.
- If you sell products, supplements or your own programs, you must disclose any financial interest when you recommend them.
Edits, review and enforcement
- Edits to photo, bio wording, prices or availability go live after a quick check. Edits to name, credentials, states or clinical services are re-reviewed before they go live.
- Small fix needed (typo, missing price detail): we email you; fix within 7 days or the service is hidden.
- Banned claim or misleading content: removed immediately; you're notified.
- Service offered in a state you're not licensed for: hidden immediately; listing reviewed.
- False credentials, lost license, or repeat violations: listing removed.
- Credible safety complaint: listing paused while we review.
